2.13. Flows Add-on

Flows is a Metricool functionality that allows the Customer to automate responses to third-party interactions with the social network accounts of the Brand/s through “trigger → action” rules (for example, sending a direct message to anyone who comments a keyword on a post), on the social networks, with the templates and in the territories where it is available at any given time, and subject to the limitations established by each social network.
As from November 3, 2026, the use of Flows requires contracting the Flows Add-on. Without at least one execution pack contracted, Flows will not run any automation. Customers who used Flows free of charge before that date may continue to do so during the transition period communicated by METRICOOL SOFTWARE, after which contracting the Flows Add-on will be required for their automations to keep running.
The Flows Add-on may be contracted:
a) by Customers of a Starter or Advanced Payment Plan, including Payment Plans of previous versions that remain in force, from their Customer account; and
b) by Customers of a Custom Plan, including the Metricool Integration and Metricool White Label modalities, only through METRICOOL SOFTWARE and at the price agreed with it. In these cases, the Add-on will be assigned to the Customer who owns the account, and End Users may not contract it.

The Flows Add-on is independent of the other Add-ons and may be contracted together with them. The use of Flows on X accounts also requires contracting the X Add-on.
2.13.2. Packs and executions
The Flows Add-on is contracted in execution packs. Each pack includes the number of monthly executions published at https://metricool.com/pricing/. The Customer may contract as many packs as it wishes.
An execution means each triggering of a flow that results in an effective action on the corresponding social network, regardless of the number of steps of the automation. The triggering of a flow whose action is not carried out because the content that triggered it no longer exists shall not count as an execution.
The execution quota is monthly, also where the Add-on is contracted with an annual billing cycle: it is renewed every month, and executions not consumed in a month do not roll over and cannot be used in later months, nor can executions of future months be used in advance.
The quota belongs to the Customer account and is shared by all the Brands managed from it. Where the same social network profile is connected to several Brands of the same account, each triggering will count as a single execution. The Add-on does not limit the number of flows the Customer may have active, but the number of executions.
Where the Customer contracts the Add-on once the month has started, it will have the full monthly quota from the time of contracting, without prejudice to the proration of the price as provided in Section 3.2.6.
2.13.3. Quota exhaustion and extra executions
The Customer may choose, from the Flows section, whether flows should stop or keep running through extra executions once its monthly quota is exhausted. By default, flows will stop once the monthly quota is exhausted, without any charges for extra executions, unless the Customer expressly activates the option for them to keep running.
If the Customer chooses for flows to keep running, it expressly authorizes METRICOOL SOFTWARE to charge to the payment method associated with its account the amount of the extra executions consumed, at the unit price published at https://metricool.com/pricing/, up to the monthly cap of extra executions configured by the Customer. If the Customer does not set a lower cap, the maximum monthly limit established by METRICOOL SOFTWARE and indicated in the Flows section will apply as the cap, which is also the limit that the cap set by the Customer may not exceed. Once that cap is reached, flows will stop until the beginning of the following month.
METRICOOL SOFTWARE will notify the Customer, within the platform and by email, when it reaches 80% and 100% of its monthly quota and, thereafter, periodically as extra executions accumulate. The Customer may check its consumption and the accrued amount of extra executions at any time.
Extra executions will be invoiced monthly, in an invoice separate from that of the Plan and the Add-ons, even where their billing cycle is annual. Extra executions of a month will not be invoiced where their number is below 100.
If the Customer contracts additional packs in a month in which it has already consumed extra executions, these will be charged against the quota of the new packs and will not be invoiced separately.
2.13.4. Customer’s responsibility
The Customer is solely responsible for the configuration of the flows and for the content of the automatic messages and responses sent through them, as well as for having a valid legal basis for the processing of the personal data of the persons who interact with the accounts of the Brand/s and for sending such messages, including, where they are commercial or promotional in nature, compliance with the regulations applicable to commercial communications by electronic means.
The Customer shall comply with the Fair Use Policy, clause 6.6 (Acceptable Use) and the messaging, automation and anti-SPAM policies of each social network. METRICOOL SOFTWARE shall not be liable for any limitations, restrictions, blocks or penalties imposed by the social networks as a result of the breach of such policies, nor for the impossibility of executing actions due to changes in their APIs or to the disconnection of accounts.
METRICOOL SOFTWARE may suspend the execution of flows where it detects a use contrary to these Terms and Conditions or to the policies of the social networks, notifying the Customer where reasonably possible.

The payment method selected for the contracting of their Payment Plan will be applied. If the Customer modifies it, the change will be applied both to the Payment Plan and to any add-on.
The Customer must read and, if they agree, accept these terms and conditions by checking the corresponding box, click on the “Upgrade plan” button and proceed with the payment.
Once the payment has been verified, the Customer will be able to connect their X accounts with Metricool.
3.2.4. Contracting the Hashtag Tracker Service
The Instagram Hashtag Tracker Service can be purchased only by Customers of any of the Metricool Plans.
The X Hashtag Tracker service can only be purchased if the Customer has a Payment Plan and has purchased the X Add-on.
By clicking on the “Hashtag Tracker” button in Customer’s Account the Customer will have to buy a balance of the days in which they want to monitor a Hashtag for each social network (X and Instagram). To do this the Customer must provide their tax data, select the payment method, indicate the days they want to hire and after reading these Legal Terms, if they agree to check the box provided for this purpose, click the “Accept” button and proceed to the corresponding payment.

Packs are contracted for the same billing cycle (monthly or annual) as the Payment Plan and will be charged together with it, applying the payment method selected for contracting the Plan. On the first contracting, the proportional part corresponding to the time remaining in the current billing cycle will be charged. Contracting packs annually does not entail any discount nor does it change the monthly execution quota.
The Customer must read and, if they agree, accept these Terms and Conditions by checking the corresponding box and proceed with the payment. Once the payment has been verified, the Add-on will be activated immediately.
3.3. Metricool services prices
3.3.1. Metricool Plans and Add-ons
The prices (monthly or annual) of the Metricool Plans in force at the moment of contracting are those published in EUR and USD at https://metricool.com/pricing/. VAT must be added to these prices at the legal rate when applicable.
The price of the Custom Plan will be quoted by METRICOOL SOFTWARE prior to contracting for review and eventual acceptance by the Customer.
The price of the Add-ons (X Add-on, Advanced Analytics Add-on and Flows Add-on, including the unit price of Flows extra executions) is the price published at https://metricool.com/pricing/ and in effect at the time of contracting it. The price of the Advanced Analytics and Flows Add-ons for Custom Plans will be the one agreed with METRICOOL SOFTWARE.
Notwithstanding the above, prior to contracting, once the corresponding options have been selected, a summary of the price of the Plan and, if any, of the Add-on(s), and applicable taxes will be shown.
The prices may be modified upwards or downwards, depending on multiple causes, however, any modification of the prices will take effect from the date of contracting or renewal of the service after the modification of these.
In the event of a price increase, METRICOOL SOFTWARE will inform the Customer prior to the automatic renewal of the corresponding contract cycle (monthly or annual) and at least 15 days prior to the renewal date, of the price increase and will proceed to the automatic renewal for the same period only if the Customer does not object to it once the price change has been communicated.
The charge of the amount of the corresponding price (monthly or annual) will be made in the means of payment selected in the contracting process, being the first one at the moment of the contracting and the following ones on the same day of the successive months/years, as applicable.
3.3.2. Hashtag Tracker
The price of the Hashtag Tracker service will be the price in effect at the time of contracting the service. VAT must be added to the price at the legal rate when applicable.
3.3.3. Gross Up Clause (Local Taxes)
In the event that, pursuant to the tax laws applicable in the Customer’s jurisdiction, any payments for the Services are subject to withholding taxes, levies, or other local charges (excluding VAT or other indirect taxes that must be charged in accordance with applicable law), the Customer shall bear and pay such amounts in full.
The Customer guarantees that METRICOOL SOFTWARE shall receive, in all cases, the full net amount corresponding to the price of the Services, free and clear of any deductions or withholdings. To this end, the Customer shall make such additional payments as may be necessary to ensure that METRICOOL SOFTWARE receives the full net amount.
The Customer further undertakes to provide METRICOOL SOFTWARE with official receipts or certificates evidencing any taxes or withholdings paid to the relevant tax authorities.
The Customer shall be solely responsible for complying with its tax obligations in its jurisdiction, including the declaration and payment of any applicable taxes, to the extent permitted by applicable law.
3.4. Changes in the contracting of Metricool’s services
3.4.1. Change of paid subscription plan
The Customer may change their Plan in accordance with the provisions of this section:
If the Customer changes from a free plan (Free) to any Payment Plan, the billing cycle will start to run from the date on which they contract the corresponding Payment Plan.
If The Customer wants to upgrade their Payment Plan, they will have to pay, at the time of contracting the higher plan, the amount of the corresponding billing cycle minus the proportional part of the price corresponding to the time not enjoyed on the lower Plan.
If the Customer wants to downgrade their plan, they will continue to enjoy the higher Plan until the end of the current billing cycle and at the beginning of the next billing cycle, the amount corresponding to the price of the lower plan will be charged to their payment method. Refunds are not made for current billing cycles, whether monthly or yearly. For that reason, the annual billing cycles are cheaper, because the Customer contracts Metricool with a one-year permanence.
3.4.2. Changes in X Add-ons
As previously indicated, the Customer can contract as many X Add-ons as X accounts they want to connect with Metricool and up to the limit of Brands allowed by their Payment Plan.
If the Customer wishes to increase the number of X accounts above the number of Brands of their Payment Plan, they will have to change to a Higher Payment Plan and contract the corresponding X Add-ons.
When the Customer increases X Add-Ons, they will have to pay, at the time of purchase, the price of the X Add-on(s) for the corresponding billing cycle, minus the proportional part of the unused time.
If the Customer reduces the X Add-ons, they will continue to enjoy the connected X accounts until the end of the contracted billing cycle and at the beginning of the next billing cycle their payment method will be charged the amount corresponding to the price of the number of X Add-ons that they continue to use.
No refunds are made for ongoing billing cycles, either monthly or yearly for the X Add-ons.
3.4.3. Changes in the Advanced Analytics Add-on
The Customer may deactivate the Advanced Analytics Add-on at any time from “Plan and Billing”. Deactivation will take effect at the end of the current billing cycle, until which time the Customer will keep full access to the functionalities of the Add-on.
No refunds are made for ongoing billing cycles, either monthly or yearly, of the Advanced Analytics Add-on.
3.4.4. Changes in the Flows Add-on
The Customer may increase the number of execution packs at any time, with immediate effect, by paying the proportional part of the price corresponding to the time remaining in the current billing cycle.
A reduction in the number of packs will take effect: a) in monthly contracting, from the following month; and b) in annual contracting, on the renewal date.
If the Customer cancels the renewal of its Plan or of the Flows Add-on, the Add-on will remain active until the date on which renewal would have taken place, but flows will stop once the monthly quota is exhausted even if the Customer had opted for extra executions. When the Customer no longer has the Flows Add-on, all active flows will stop, keeping their configuration in case the Add-on is contracted again. Extra executions consumed and not invoiced will nevertheless be invoiced at the end of the month.
No refunds are made for ongoing billing cycles, either monthly or yearly, of the Flows Add-on.
3.5. Customer account in Metricool

For the rest of Metricool’s Payment Plans (Starter, Advanced and Custom), the Customer will have access to their services as long as they are up to date with the payments during the contracted monthly or annual term. The service contract will be automatically extended for the same period as the previous contract, unless the Customer informs METRICOOL SOFTWARE of their intention not to renew it before the end date of the current Contract Cycle. If the Customer requests cancellation of the contracted Plan, they will be able to continue using the service until the end of the contracted period (monthly or yearly), without being charged the amount corresponding to the following period.
If it is not possible to collect any amount owed by the Customer, including those corresponding to Payment Plans, Add-ons and Flows extra executions, METRICOOL SOFTWARE will notify the Customer by email and/or through the platform and may retry the charge. If the amount is not paid within 2 business days from such notification, METRICOOL SOFTWARE may suspend access to the paid functionalities of Metricool until payment is regularized, without such suspension releasing the Customer from paying the amounts owed. During the suspension, the account data will be kept. If non-payment persists 2 calendar days after the suspension, METRICOOL SOFTWARE may terminate the contract.
If the Customer wishes, they can delete their Customer account through their Metricool Customer Menu. This action will permanently delete their Metricool account and all analytical data from all Brands will be deleted, as well as personal data from the account.
The early termination of the contract may also occur if any of the causes of termination of the contract provided for in the applicable legislation or in these Terms and Conditions concur.
METRICOOL SOFTWARE may withdraw or suspend the provision of services at any time and without prior notice in the event of breach of any of the obligations assumed under these contract conditions, with express reservation of the right to claim, in case, the damages that could be incurred by reason of such breach.
The permissions that the Customer has granted to Metricool through each social network must be withdrawn in each of those social networks by them.

If, at the end of that year, the AFFILIATE has acquired at least 100 additional Referred Customers during that period, Tier 2 will be renewed for another year. Otherwise, Tier 1 will apply again.
To the Commission will be applied the taxes and fiscal retentions that, in its case, legally correspond.
7.5.2. Commission accrual
The right to the commission will accrue if each and every one of the conditions listed below are met:
a) The Referred Customer must have created their Metricool account through the AFFILIATE’s Affiliation Link and subsequently must have contracted a Payment Plan.
b) The payment of the price corresponding to the contracting of the Payment Plan by the Referred Customer must have been verified by METRICOOL SOFTWARE.
c) The Referred Customer must have maintained the contracting of the Metricool Payment Plan for a period of 30 days from the date of contracting.
Under no circumstances will any right to receive Commissions for the contracting of a Payment Plan be accrued by anyone who has previously contracted a Metricool plan.
When a user accesses Metricool from the Affiliate Link of the AFFILIATE, a cookie will be installed in their device for a period of 30 calendar days. If the user creates their Metricool account within this period of time, without deleting the cookie, the registration will be imputed to the AFFILIATE. If the user subsequently contracts a Payment Plan, this contracting will be imputed to him/her.. If the user deletes the cookie, the contracting cannot be attributed to the AFFILIATE, since it is impossible to detect that the contracting is done through the AFFILIATE’s Affiliation Link.
All the Affiliate Links of each AFFILIATE install this type of cookie, if a user clicks on the Affiliate Link of an AFFILIATE, and subsequently clicks on the Affiliate Link of a different AFFILIATE, the cookie of this last URL will replace the previous one (and so on), so if that user contracts any service with Metricool, the contracting will be attributed to the AFFILIATE whose last Affiliate Link the user has clicked on.
It is understood that this system tries to facilitate the work of the AFFILIATES, and METRICOOL SOFTWARE cannot be held responsible for any of these cases.
7.5.3. Commission payment method
Once each and every one of the Commission accrual requirements have been met, and as long as an accumulated amount of commissions of at least USD 200.00 has been reached, the AFFILIATE may request, through the Zexel Platform (https://zexel.io/), that payment of the accrued Commissions be processed. Except in cases of termination of the Program or termination of the relationship in accordance with these terms, this threshold is a necessary requirement for payment.
Commissions will be calculated based on amounts actually collected by METRICOOL SOFTWARE, excluding indirect taxes, refunds, cancellations, non-payments, or fraud.
For the payment of Commissions, the AFFILIATE must comply at all times with the terms and conditions of the Zexel platform, issuing invoices and providing the relevant certificates and documents as required. Otherwise, payment may not be made, or applicable tax withholdings may be applied.
7.6. Term
Participation in the Affiliation Program shall be of an indefinite nature until its termination for any of the causes set forth in these conditions.
7.7. Loss of AFFILIATE status
METRICOOL SOFTWARE reserves the right to revoke the status of AFFILIATE:
a) For breach of any of the conditions of the Affiliation Program.
b) For the use of identifying elements, distinctive signs, trademarks and / or designs of Metricool not expressly authorized by METRICOOL SOFTWARE. For this purpose, the AFFILIATE may only make use of the resources that are made available in the Resource Center (https://app.metricool.com/affiliation/resources) and only for their participation in the Affiliation Program, without the use of them can be deduced a relationship with METRICOOL SOFTWARE or its brands other than participation in the Affiliation Program or that may lead to confusion to any user about whether the ownership of the support corresponds to the AFFILIATE or METRICOOL SOFTWARE.
c) For the use of unauthorized techniques of sending advertising (SPAM) by the AFFILIATE, being the AFFILIATE exclusively responsible for such actions.
d) For the inclusion of the Affiliation Links in any place different from the Support.
e) For the conclusion of operations or transactions by illicit or fraudulent means.
f) For the use of the Affiliate Link for the contracting of services by the AFFILIATE, or for the creation of client accounts with the same personal data to receive auto-commissions or with the personal data of blood relatives or relatives by affinity up to the second degree inclusive.
g) For bidding as advertising keywords in online advertising services of the Metricool brand or any variation of the same or similar terms (without any letter or adding others) or combining the Metricool brand with any other term.
h) For publishing promotions, rebates, credits, or discounts on Metricool products and services, or any other content related to Metricool without the prior written consent of METRICOOL SOFTWARE in each case. The AFFILIATE may only publish promotions provided through the Affiliation Program.
i) A member will also lose their status as an AFFILIATE if they have previously collaborated with METRICOOL SOFTWARE by creating content and replace the links from that prior collaboration with the Affiliate Link.
7.8. Obligations of the AFFILIATE
The AFFILIATE must comply with all the obligations contained in these conditions. It will be the sole responsibility of the AFFILIATE to update their Support/s and their contents.
METRICOOL SOFTWARE will not be responsible for the non-compliance of the legal obligations of the AFFILIATE with respect to its Support/s and/or the economic activity that it develops, such as legal notices, privacy and cookies policies, tax obligations and/or Social Security or any other nature.
The AFFILIATE agrees not to modify the Affiliate Links made available by METRICOOL SOFTWARE for the development of the service.
METRICOOL SOFTWARE will not be responsible for any error in the installation of Affiliation Links in the AFFILIATE’s Support(s).
7.9. Modifications to the Affiliation Program
METRICOOL SOFTWARE undertakes to notify any substantial modification of the Affiliation Program with sufficient notice.
If the AFFILIATE is not satisfied, they will have the right to stop participating in the Affiliation Program and to request the liquidation and payment of the Commissions, if any, pending, without any other type of claim.
7.10. Consequences of termination
Once the participation of the AFFILIATE in the Affiliation Program is terminated, they will be totally disassociated from it, being expressly prohibited the use of logos and banners or any allusion to the brand, logos, anagrams, designs, or any other element owned by METRICOOL SOFTWARE.
In addition, any outstanding commissions will be paid, regardless of the amount, provided that the termination is not due to a breach by the AFFILIATE.
7.11. Other considerations about the Affiliation Program
METRICOOL SOFTWARE does not guarantee the continuity of the Affiliation Program, so it may terminate it at any time by settling pending payments.
The AFFILIATE shall be responsible for the contents and links included in its Support/s.
The AFFILIATE will assume responsibility for damages caused to METRICOOL SOFTWARE for breach of the obligations hereunder, being METRICOOL SOFTWARE authorized to withhold the amounts in concept of commissions that would have corresponded to the AFFILIATE in case of breach.

8.3. Metricool integrates via API (Application Programming Interface) the applications of third party social networks (Facebook, Instagram, Threads, X, Pinterest, TikTok, YouTube, Twitch, LinkedIn, Google, Bluesky), so METRICOOL SOFTWARE cannot guarantee that the functionalities available in Metricool for each of these social networks will not stop working due to changes in the internal policies of these third parties, since it is each of the companies that own their respective social network that decides which functionalities it offers through its respective API, without METRICOOL SOFTWARE having any control over the possible modifications in each API of these third parties. Therefore, METRICOOL SOFTWARE will not be responsible for the changes that the companies that own each social network integrated in Metricool make with respect to the elimination and/or modification of functionalities.

– METRICOOL SOFTWARE will not be responsible for the content or services made available to the public on the website or portal from which the hyperlink is made, nor for the information and statements included therein.
13.2. Links to other websites
The METRICOOL SOFTWARE website may make available to the user links to other websites managed and controlled by third parties, with the exclusive function of facilitating users to search for information, content and services on the Internet, without in any case being considered that METRICOOL SOFTWARE markets, directs, controls or owns the content, services, information and statements available on said websites.
METRICOOL SOFTWARE does not assume any type of responsibility, even indirectly or subsidiary, for the contents, information, communications, opinions or services linked from those websites not managed by METRICOOL SOFTWARE and that are accessible through the Web, nor does it guarantee the absence of viruses or other elements in them that may cause alterations in the computer system (hardware and software), in the user’s documents or files, excluding any responsibility for damages of any kind caused to the user for this reason.

15. Intellectual property
15.1. Metricool Content
All the elements and/or contents published in Metricool have been created by METRICOOL SOFTWARE or they have a license or authorization for their use.
Therefore, all those elements and/or contents (such as: images, audio, video, software, or texts; brands or logos, color combinations, structure and design, applications necessary for its operation, access and use, etc.) and the exploitation rights over them are the exclusive property of METRICOOL SOFTWARE.

16. Processing of personal data
16.1. Data processing as Data Controller
The personal data that METRICOOL SOFTWARE process as Data Controller, will be in accordance with the provisions of the Privacy Policy published on the Website and to which we refer to avoid unnecessary repetitions.
METRICOOL SOFTWARE has designated a Data Protection Officer who can be contacted at the e-mail address [email protected].
Notwithstanding the foregoing, METRICOOL SOFTWARE may analyze the Customer’s behavior in the use of Metricool in order to improve and / or enhance the service, notify them of functionalities of the tool that improve their performance and / or detect needs in the platform.
In addition, METRICOOL SOFTWARE may implement mechanisms to store information about the device from which the Customer connects, solely for security purposes, in order to detect fraudulent connections by unauthorized third parties.
The Customer may object to this at any time by writing to [email protected] or to [email protected].
16.2. Data processing as Data Processor
16.2.1. Subject matter and duration of the processing
By contracting Metricool’s services, METRICOOL SOFTWARE is authorized to process, on behalf of the Customer, as Data Controller, the personal data necessary to provide the functionalities included in the contracted Metricool Plan and, where applicable, in the contracted Add-ons.
Depending on the functionalities activated and used by the Customer, the processing may include:
– the management of the social network accounts and advertising campaigns of the Brands connected to Metricool;
– access to information relating to the contacts and communications of the social network accounts connected to Metricool;
– the processing of the personal data of third parties authorized by the Customer to access its Metricool account;
– where activated by the Customer, the provision of website and blog audience measurement and analytics services through the Website Tracker (web audience measurement functionality that the Customer may activate on a website or blog connected to Metricool, consisting of a tracking code that sends limited visit data to Metricool);
– where activated by the Customer, the execution of automated responses to interactions on social networks through Flows; and
– where the Customer uses Metricool White Label or Metricool Integration with a Customer-Owned Domain, the receipt and routing of the traffic directed to that domain through the network of Cloudflare, Inc..
The processing will take place for as long as the corresponding Metricool service remains active, without prejudice to the following specific retention periods:
– IP addresses processed through the Website Tracker will only be processed in identifiable form for a maximum period of thirty-six (36) hours from their collection, after which they will be deleted or irreversibly anonymized, so that they can no longer be used to identify or single out the visitor; and
– the personal data of the persons who interact with the accounts of the Brand/s and trigger a flow will be kept until the deletion of the Customer’s account data in Metricool, without prejudice to the provisions of Section 16.2.10.
16.2.2. Nature and purpose of the processing
The processing is carried out by automated means through Metricool’s digital systems and infrastructure and may include, depending on the functionalities used, the collection, transmission, receipt, recording, storage, consultation, organization, aggregation, analysis, temporary use, erasure and/or irreversible anonymization of personal data.
The purpose of the processing is exclusively the provision of the Metricool services contracted or activated by the Customer. In particular:
– in the Website Tracker: recording and aggregating visits and page views of the website; providing web audience measurement and analytics services; determining the approximate country and region from which a visit originated; and avoiding multiple counting of the same visitor within the same reporting day. The Website Tracker does not install, read or otherwise use cookies, localStorage or sessionStorage, nor does it assign or use persistent visitor identifiers; and
– in Flows: detecting the interactions that trigger each flow; executing the automatic actions configured by the Customer; recording the execution history; and measuring interactions with the automatic messages.
METRICOOL SOFTWARE shall in no case use the personal data processed on behalf of the Customer for its own purposes.
16.2.3. Categories of data subjects and types of personal data
In the course of providing the contracted services, METRICOOL SOFTWARE may process the following categories of data subjects and personal data:
– Customers and/or users of the Customer or of the managed Brand: name and email address.
– Third parties authorized by the Customer to access its Metricool account: name and email address.
– Contacts in the social network accounts of the Brand/s connected to Metricool: public user profile data and data provided in direct messages.
– Social network users who interact with the posts, messages or stories of the Brand/s and trigger a flow: username on the social network, date and time of the interaction, flow execution history (action performed and execution status) and interactions with the automatic messages, including clicks on the links sent.
– Persons who access Metricool through a Customer-Owned Domain (including, where applicable, its End Users): IP address.
– Visitors to websites or blogs on which the Customer has implemented or activated the Website Tracker: IP address, requested URL or page, referrer information, where available, and browser window and/or viewport dimensions.
In no case will the special categories of data referred to in Article 9 of the GDPR be processed, except where the data subject has manifestly made the personal data public in social network posts and its processing is inherent to the functionalities requested by the Customer. Nor will personal data relating to criminal convictions and offences referred to in Article 10 of the GDPR be processed.
16.2.4. Obligations of METRICOOL SOFTWARE as Data Processor
METRICOOL SOFTWARE undertakes to comply with all the obligations applicable to it as Data Processor under the GDPR and other applicable data protection legislation and, in particular, to:
a. Process the personal data only on documented instructions from the Customer, including with regard to transfers of personal data to a third country or an international organization, unless required to do so by Union or Member State law to which it is subject; in such a case, it shall inform the Customer of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest. These Terms and Conditions, the DPA, the functionalities and settings expressly activated by the Customer in Metricool and any subsequent written instructions issued by the Customer constitute documented instructions.
b. Immediately inform the Customer if, in its opinion, an instruction infringes the GDPR or other Union or Member State data protection provisions.
c. Not use or apply the personal data for purposes other than the provision of the Metricool services contracted or activated.
d. Ensure that persons authorized to process the personal data have expressly committed themselves in writing to confidentiality and are under a statutory obligation of confidentiality, that they only process the data on the Customer’s instructions and that they have received the training necessary so as not to put the protection of personal data at risk.
e. Properly implement the security measures set out in Article 32 of the GDPR, included in Annex 1 to the DPA, and assist the Customer in complying with the obligations set out in the GDPR, taking into account the nature of the processing and the information available to METRICOOL SOFTWARE. METRICOOL SOFTWARE shall also analyze the potential risks and other circumstances that may have an impact on security and that are attributable to it and, where appropriate, inform the Customer so that their impact can be assessed.
f. Not communicate the personal data to other recipients without the prior written authorization of the Customer. Such authorization shall not be required for the transmission of data to public authorities in the exercise of their public functions where such transmissions are necessary to achieve the purpose of the processing.
g. Make available to the Customer all information reasonably necessary to demonstrate compliance with the obligations laid down in Article 28 of the GDPR, in these Terms and Conditions and in the DPA, and allow for and contribute to audits, including inspections, conducted by the Customer or another auditor mandated by the Customer.
Such audits may include document reviews, questionnaires, interviews, remote verifications and, where reasonably necessary, inspections of the premises, systems or equipment relevant to the processing of the Customer’s personal data. They shall be carried out at reasonable intervals or where there are reasonable indications of non-compliance, following a relevant personal data breach or when requested by a competent supervisory authority.
Where appropriate, on-site inspections shall be carried out during normal business hours and with reasonable prior notice, unless urgency is justified by a serious personal data breach, by well-founded indications of material non-compliance or by a binding request from a competent supervisory authority. The Customer and any auditor appointed by it shall comply with appropriate confidentiality and security obligations and shall limit the audit to the information, systems and processing activities relevant to the Customer’s personal data.
16.2.5. Personal data breaches
METRICOOL SOFTWARE shall notify the Customer, without undue delay, of any personal data breaches of which it becomes aware, for its information and for the application of measures to remedy and mitigate the effects caused.
The notification shall contain, at least: a description of the nature of the breach; the categories and approximate number of data subjects concerned; the categories and approximate number of personal data records concerned; the likely consequences; the measures taken or proposed to remedy or mitigate its effects; and the contact details where more information can be obtained.
16.2.6. Sub-processors and international data transfers
The Customer acknowledges and accepts that METRICOOL SOFTWARE has engaged the following sub-processors as service providers:
– Amazon Web Services EMEA, SARL (38 Avenue John F. Kennedy, L-1855 Luxembourg; LU26888617): cloud infrastructure, server hosting, storage, backups, networking, email relay and support infrastructure for receiving and processing Website Tracker requests.
– STR Sistemas y Desarrollos en Internet, S.L. (C/ Pozo Chico 17, 3º D, 28341 Valdemoro, Madrid, Spain; B85077196): server management and technical infrastructure administration services.
METRICOOL SOFTWARE shall specifically inform the Customer in writing of any intended changes to that list, whether by adding or replacing a sub-processor, at least 30 days in advance, providing the information necessary for the Customer to be able to object to such changes before the engagement of the sub-processor concerned. If the Customer does not object within that period, the authorization shall be deemed granted.
METRICOOL SOFTWARE shall impose on sub-processors the same confidentiality, data protection and data security obligations to which it is subject under these Terms and Conditions and the DPA, and shall record the existence of appropriate safeguards, including, among others, the use of Standard Contractual Clauses (SCCs) and/or other applicable measures. In any case, METRICOOL SOFTWARE shall remain fully liable for any negligence and/or damage caused by its sub-processors to the Customer and/or to the data processed, as well as for any breach by them of data protection legislation or of the rights of data subjects.
If METRICOOL SOFTWARE intends to process the personal data outside the European Economic Area, including through sub-processors, or to transfer it to a third country or international organization that does not benefit from an adequacy decision pursuant to Article 45(3) of the GDPR, it may only do so with the prior written approval of the Customer and subject to appropriate safeguards, including, among others, the use of Standard Contractual Clauses (SCCs), which shall apply automatically where necessary, and/or other applicable measures. If personal data is transferred between METRICOOL SOFTWARE and its sub-processors, METRICOOL SOFTWARE shall carry out and document an appropriate risk assessment in relation to such transfer.
Exceptionally, if the Customer contracts a Metricool Custom White Label or Integration Plan and requests the use of a Customer-Owned Domain, the traffic directed to that domain will be handled through the network of Cloudflare, Inc., which entails an international transfer to the United States of the IP address of the persons who access Metricool through that domain. This transfer is based on Commission Implementing Decision (EU) 2023/1795 of 10 July 2023 pursuant to Regulation (EU) 2016/679 on the adequate level of protection of personal data under the EU-US Data Privacy Framework, as Cloudflare, Inc. is certified under that framework, and therefore does not require any additional specific authorization from the Customer under Article 45 of the GDPR.
Should that adequacy decision be invalidated, suspended or cease to apply, or should Cloudflare, Inc. lose its certification, the transfer would be based on the Standard Contractual Clauses approved by the European Commission and/or other appropriate safeguards under Article 46 of the GDPR, of which METRICOOL SOFTWARE shall inform the Customer.
16.2.7. Data subject rights
METRICOOL SOFTWARE shall establish, whenever possible and taking into account the nature of the processing, the technical and organizational conditions necessary to assist the Customer in its obligation to respond to requests to exercise data subject rights. If METRICOOL SOFTWARE receives any such request, it shall forward it to the Customer immediately and in no case later than the business day following its receipt, together with any other information that may be relevant to its resolution.
16.2.8. Obligations of the Customer
It is incumbent on the Customer to:
a. Inform data subjects about the processing of their personal data, a duty that lies exclusively with the Customer.
b. Ensure that the data provided to METRICOOL SOFTWARE has been lawfully obtained and is adequate, relevant and limited to the purposes of the processing, and make available to METRICOOL SOFTWARE all the information necessary for the provision of the services.
c. Carry out an analysis of the potential risks arising from the processing in order to determine the appropriate security measures and, if it determines that there are risks, send METRICOOL SOFTWARE a report with the impact assessment so that it can implement the appropriate measures to avoid or mitigate them.
d. In relation to the Website Tracker, ensure, to the extent under its control, that the URLs, query parameters and other information transmitted do not intentionally contain direct identifying personal data, special categories of personal data within the meaning of Article 9 of the GDPR or personal data relating to criminal convictions and offences within the meaning of Article 10 of the GDPR, as well as determine the legal basis applicable to its implementation and use and provide data subjects with the information required by applicable data protection legislation.
e. In relation to Flows, be responsible for the configuration of the automations and for the content of the automatic messages, determine the legal basis applicable to the processing of the personal data of those who interact with the accounts of the Brand/s and to the sending of such messages, and provide data subjects with the information required by applicable data protection legislation.
f. In relation to Customer-Owned Domains, inform the persons who access Metricool through such domains of the processing of their personal data and of the international transfer provided for in Section 16.2.6.
16.2.9. Liability
In accordance with Article 82 of the GDPR, the Customer shall be liable for the damage caused by any processing operation in which it is involved that infringes the GDPR, and METRICOOL SOFTWARE shall only be liable for the damage caused by processing where it has not complied with the obligations of the GDPR specifically directed to processors or where it has acted outside or contrary to the lawful instructions of the Customer. METRICOOL SOFTWARE shall be exempt from liability if it proves that it is not in any way responsible for the event giving rise to the damage.
16.2.10. End of the service
Once the contracted services have ended, for whatever reason, METRICOOL SOFTWARE, if it has stored personal data or any other document and/or medium provided to it by any means, shall return or delete them, at the choice of the Customer, including any existing copies.
The data shall not be deleted where its retention is required by a legal obligation, in which case METRICOOL SOFTWARE shall continue to keep it, blocking the data and limiting its processing for as long as liabilities may arise from its relationship with the Customer. METRICOOL SOFTWARE shall maintain the duty of secrecy and confidentiality regarding the data even after the relationship has ended.
16.2.11. Obtaining a copy of the Data Processing Agreement (DPA)
In the event that the Customer wishes to obtain a signed copy of the Data Processing Agreement (DPA), they may request it by sending an e-mail to [email protected].
The DPA forms an integral part of these Terms and Conditions. In the event of any discrepancy between the provisions of this Section 16.2 and the DPA, the provisions of the DPA shall prevail.
17. Outsourcing
METRICOOL SOFTWARE may contract and/or subcontract with third parties everything it deems appropriate in relation to the performance by them of any or all activities necessary for the maintenance, updating, improvement or provision of services.
18. Modification of services
METRICOOL SOFTWARE reserves the right to modify the services in order to adapt them:
a) To the technical evolution of the market.
b) To any technical, functional, and operative improvement that allows an improvement in the provision of the same.
c) To the evolution of laws, regulations, and rules applicable to the provision of the Services and / or aspects related to them. Also, METRICOOL SOFTWARE reserves the right to modify unilaterally and without prior notice, the presentation, configuration, and operability of the service provided that such modification does not affect the functionality or Service commitments acquired or involve any increase in the agreed prices.
Notwithstanding the foregoing, METRICOOL SOFTWARE reserves the right to modify the functionalities of the Free Plan at any time.
19. Right of withdrawal
The Customer has a withdrawal period of 15 calendar days from the date of the first contracting of any Metricool Plan. This right of withdrawal does not apply to automatic renewals.
20. Applicable legislation and competent jurisdiction
The present terms and conditions will be governed by Spanish Law, although the choice of law does not prevent invoking the protection offered by the mandatory provisions of the law of the habitual residence in the case of being a consumer or user, although Metricool is addressed to companies and/or professionals that contract it for a purpose related to their commercial activity, business, trade, or profession.
Any divergence and/or disagreement with respect to what is established in the present conditions will be submitted to the Courts and Tribunals of Madrid.
In the unlikely event that the Customer may be considered a consumer or user in accordance with the regulations for the defense of consumers and users, the courts and tribunals of their domicile shall have jurisdiction.
